Terms and conditions

These Terms and Conditions (the “Terms”) govern your access to and use of the Treply Platform, websites, APIs, and software products provided by Gridship LLC, doing business as Treply (“Treply,” “we,” “us,” or “our”). The Treply Platform is currently offered in the United States and Canada. By creating an account, signing an order form, or otherwise using the Services, you (“Customer,” “you,” or “your”) agree to be bound by these Terms.
1. Agreement components
These Terms, together with any order form, statement of work, Data Processing Addendum, and any policies referenced herein (including our Privacy Policy and Acceptable Use Policy), constitute the entire agreement between you and Treply regarding the Services. Specific features may be subject to additional terms presented at the time of activation; in case of conflict between these Terms and any feature-specific terms, the feature-specific terms control for that feature only.
The Services include, without limitation, message delivery, campaign management, audience segmentation, automation workflows, conversational inbox, analytics, integrations with third-party services, an HTTP API, software development kits, and a web-based administrative dashboard.
2. Account security
You are responsible for safeguarding the credentials used to access your Treply account and for any activity that occurs under your account. You agree to notify us immediately of any unauthorized use, breach of security, or compromise of credentials. We recommend enabling multi-factor authentication on every user, performing quarterly access reviews, and revoking API tokens you no longer use.
We reserve the right to suspend or restrict access to any account that we reasonably believe has been compromised, or that is being used in violation of these Terms.
3. Mobile terms of service
Consent. You represent and warrant that you have obtained, and will continue to maintain, all consents required by applicable law before sending any message via the Services. For US recipients, this includes prior express written consent under the Telephone Consumer Protection Act (“TCPA”) for marketing messages, in accordance with CTIA Short Code Monitoring Handbook guidelines and applicable carrier policies. You agree to retain documentation of consent and to make such documentation available upon our reasonable request.
Opt-out obligations. You agree to honor opt-out requests immediately upon receipt. The Services automatically process the keyword STOP (and its variants UNSUBSCRIBE, CANCEL, END, and QUIT) and will suppress further sends to opted-out recipients. The keyword HELP returns service instructions and the sender's identity. You may not attempt to circumvent these suppressions, including by sending from a different number or platform.
Required disclosures. You agree (a) to identify the sender in the first message of every conversation; (b) to include “Msg & data rates may apply” and opt-out instructions in initial opt-in messaging; (c) to send marketing messages only during permitted hours; and (d) to comply with all carrier-specific content guidelines, including 10DLC campaign registration in the United States and CWTA guidelines in Canada.
Carrier rules. You acknowledge that wireless carriers may impose additional content, throughput, and registration requirements, and that such carriers may filter, block, or surcharge messages at their sole discretion. We will use commercially reasonable efforts to comply with such requirements on your behalf, but we make no guarantee of delivery.
4. Campaigns
You are responsible for the content, targeting, and timing of every campaign you send via the Services. Treply reserves the authority to refuse, suspend, or terminate campaigns that we determine, in our reasonable discretion, violate CTIA Guidelines, the TCPA (1991), CWTA guidelines, applicable carrier policies, or any provision of these Terms.
You may not use the Services to send messages related to SHAFT-restricted categories (Sex, Hate, Alcohol, Firearms, Tobacco) without appropriate carrier approval, nor for cannabis, CBD, payday loans, debt collection, gambling, deceptive marketing, credit repair, or any unlawful content.
5. Professional services
Where set forth in an order form or statement of work, Treply may provide professional services such as implementation, migration, integration, training, or strategic advisory. Professional services are billed as specified in the applicable order form. Deliverables, timelines, and acceptance criteria will be defined per engagement.
6. Force majeure
Neither party shall be liable for any failure or delay in performance under these Terms to the extent caused by events outside that party's reasonable control, including but not limited to acts of God, war, terrorism, civil unrest, government action, network or carrier outages, infrastructure failures of third-party providers, pandemics, or natural disasters (“Force Majeure Events”). The affected party will provide prompt written notice and use commercially reasonable efforts to mitigate the impact.
7. Privacy and confidentiality
Customer Data. As between the parties, you retain all right, title, and interest in and to data you submit to the Services (“Customer Data”). You grant us a limited, worldwide, royalty-free license to host, process, transmit, and display Customer Data solely as necessary to provide the Services to you.
Privacy. Our processing of personal data is described in our Privacy Policy, which is incorporated by reference. Where we process personal data on your behalf, we act as a processor under GDPR and CCPA, and you act as the controller. A Data Processing Addendum is available on request and forms part of these Terms when executed. You are responsible for the lawful collection of personal data and for maintaining all consents required for the messages you send via the Services.
Confidential information. Each party agrees to protect the other party's confidential information — including proprietary data, trade secrets, roadmap details, and pricing — using at least the same degree of care it uses to protect its own confidential information of like kind, and not less than a reasonable standard of care.
Security. We maintain administrative, technical, and physical safeguards designed to protect Customer Data, including encryption in transit and at rest, least-privilege access controls, audit logging, and routine third-party assessments. We target a 99.9% uptime Service Level Agreement on the platform layer, excluding planned maintenance.
8. Invoices and pricing
Fees. You agree to pay all fees set forth in your applicable order form, including platform fees, message-volume fees, and carrier pass-through charges. Advance payments are required for subscription plans, and auto-payment options are available. All fees are non-refundable except as expressly provided.
Billing. Platform fees are billed monthly or annually in advance, depending on your plan. Usage-based fees, including carrier pass-through charges, are billed monthly in arrears. Past-due amounts may accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law.
Taxes. Fees do not include taxes. You are responsible for all taxes, duties, and similar government assessments arising from your use of the Services, except taxes based on our net income.
9. External links and responsibility
The Services may contain links to third-party websites, services, or resources that are not owned or controlled by Treply. We are not responsible for the content, privacy policies, or practices of any third parties. You acknowledge and agree that Treply shall not be liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods, or services available on or through any third-party website or service.
10. Modifications and updates
We may update these Terms from time to time. If we make a material change, we will provide you notice — for example, via email to your account's primary contact, an in-product banner, or a notice posted at https://treply.so/terms-and-conditions — in advance of the change taking effect. Continued use of the Services after the effective date constitutes acceptance of the updated Terms.
We may also modify, add, or remove features of the Services at any time. Beta or preview features are provided “as is” and may be discontinued without notice.
11. Agreement acceptance and miscellaneous provisions
By accessing or using the Services, you confirm that you have read, understood, and agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, in which case “you” refers to that entity.
Governing law. These Terms are governed by the laws of the State of Illinois, without regard to its conflict of laws principles, with the Services available in the United States and Canada. The parties consent to the exclusive jurisdiction of the state and federal courts located in DuPage County, Illinois for any dispute arising out of or relating to these Terms.
Liability. EXCEPT FOR LIABILITIES ARISING FROM A PARTY'S INDEMNIFICATION OBLIGATIONS OR YOUR PAYMENT OBLIGATIONS, NEITHER PARTY SHALL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUES, DATA, OR GOODWILL. EACH PARTY'S TOTAL CUMULATIVE LIABILITY UNDER THESE TERMS SHALL NOT EXCEED THE FEES PAID OR PAYABLE BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Warranty disclaimer. EXCEPT AS EXPRESSLY SET FORTH IN THESE TERMS, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
Severability. If any provision of these Terms is held unenforceable, the remaining provisions shall remain in full effect. The failure of either party to enforce any right or provision shall not constitute a waiver of that right or provision.
